Please read these Terms of Service (“Terms”) carefully before using
the OurToolCrib.com website (the “Site”) or placing any order with
Our Tool Crib. These Terms constitute a legally binding agreement
between you and Our Tool Crib, doing
business as Our Tool Crib (“Company,” “we,” “us,”
or “our”). By accessing or using the Site, creating an account, or
placing an order, you agree to be bound by these Terms and our
Privacy Policy, which is incorporated
herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR
PLACE ANY ORDER.

1. Acceptance of Terms; Eligibility

1.1 Acceptance

Your use of the Site, creation of an account, or submission of an
order constitutes your acceptance of, and agreement to be bound by,
these Terms. If you are using the Site on behalf of a business or
other legal entity, you represent that you have the authority to bind
that entity to these Terms, and references to “you” include both you
individually and that entity.

1.2 Eligibility

You must be at least eighteen (18) years of age to use the Site or
purchase products from Our Tool Crib. By using the Site, you
represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity and authority to enter into a binding
    contract under applicable law;
  • If acting on behalf of a business entity, you have actual authority
    to bind that entity; and
  • Your use of the Site does not violate any applicable law or
    regulation.

We reserve the right to refuse service, terminate accounts, or cancel
orders at our discretion if we have reason to believe eligibility
requirements are not met.

2. Accounts

2.1 Registration

Certain features of the Site, including order tracking and saved
preferences, require you to register for an account. When you
register, you agree to provide accurate, current, and complete
information and to update that information as necessary to keep it
accurate and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your
account credentials, including your username and password. You agree
to notify us immediately at

if you suspect any unauthorized use of your account or any other
security breach. We will not be liable for any loss or damage arising
from your failure to maintain the security of your account
credentials.

2.3 Accurate Information

You agree not to impersonate any person or entity, use a false name
or email address you do not have authority to use, or otherwise
provide false or misleading information during registration or at any
other time. We reserve the right to verify account information and to
suspend or terminate accounts where inaccurate or fraudulent
information is provided.

2.4 Account Termination

We reserve the right, in our sole discretion, to suspend, disable,
or permanently terminate your account at any time and for any reason,
including but not limited to violation of these Terms, suspected
fraudulent activity, or extended periods of inactivity, with or
without prior notice. You may close your account at any time by
contacting us at
support@ourtoolcrib.com.
Termination of your account does not affect any rights or obligations
that arose prior to termination.

3. Products, Pricing, and Availability

3.1 Product Information

We offer over 77,000 professional tools across 100+ brands. We make
reasonable efforts to display product descriptions, specifications,
images, and pricing accurately; however, we do not warrant that
product descriptions or other content on the Site are accurate,
complete, reliable, current, or error-free.

3.2 Pricing and Typographical Errors

All prices are listed in U.S. dollars. We reserve the right to
correct any pricing error, typographical error, or inaccuracy at any
time, including after an order has been submitted. If a pricing error
is discovered on an order you have placed, we will notify you as
promptly as practicable. You will then have the option to proceed
with your order at the corrected price or to cancel it for a full
refund of any amount already charged.

3.3 Availability and Discontinuation

Product availability is subject to change without notice. We reserve
the right to:

  • Modify, discontinue, or limit the sale of any product at any time
    and without prior notice;
  • Limit the quantities of any product that may be purchased per
    person, per household, or per order;
  • Restrict sales of products to certain geographic regions or
    jurisdictions.

We are not responsible for delays or inability to fulfill orders due
to circumstances beyond our control, including manufacturer
discontinuation, supply chain disruptions, or carrier interruptions.

4. Orders

4.1 Order Submission

When you submit an order through the Site, you are making an offer to
purchase the selected products at the listed price and in accordance
with these Terms. Your order submission does not constitute our
acceptance of that offer.

4.2 Order Confirmation Is Not Acceptance

An automated order confirmation email sent to you following your
submission acknowledges receipt of your order request and is not an
acceptance of your order. A binding contract for the sale of a
product is not formed until we expressly accept your order, which
occurs upon our shipment of the ordered product(s) to you (or, where
applicable, upon our written notice of acceptance). We reserve the
right to cancel, refuse, or limit any order at any time prior to
shipment.

4.3 Right to Cancel or Refuse Orders

Without limiting the foregoing, we reserve the right to refuse or
cancel orders for any reason, including but not limited to:

  • Product unavailability or discontinuation;
  • Errors in product description, pricing, or promotional offers;
  • Suspected fraudulent, abusive, or unauthorized activity;
  • Failure of payment authorization or verification;
  • Orders that appear to be for resale or commercial arbitrage in
    violation of quantity limits;
  • Shipping restrictions to the delivery address provided.

If we cancel an order for which payment has already been collected,
we will issue a full refund to your original payment method within a
commercially reasonable time.

5. Payment Terms; Taxes

5.1 Payment Methods

We accept the payment methods displayed on the Site at checkout.
By providing payment information, you represent and warrant that you
are authorized to use the payment method and that the information
you provide is accurate. You authorize us to charge your payment
method for the total amount of your order, including any applicable
taxes and shipping charges.

5.2 Payment Processing

Payment is due at the time of order. We use third-party payment
processors to handle payment transactions. We do not store complete
payment card data on our servers. Your use of any third-party payment
processor is subject to that processor’s terms of service and privacy
policy.

5.3 Taxes

Applicable federal, state, and local sales taxes will be calculated
and collected at checkout based on the shipping destination of your
order, to the extent required by applicable law. Tax amounts
displayed are estimates; final tax amounts will be reflected on your
order confirmation. We are not responsible for any additional tax

6. Shipping and Risk of Loss

6.1 Shipping Information

Detailed information about our shipping methods, estimated delivery
times, carrier options, free shipping thresholds (currently, free
standard shipping on qualifying orders over $99.00 within the
contiguous United States, subject to change), and shipping
restrictions is set forth on our
Shipping Information page, which is
incorporated herein by reference. Shipping terms are subject to
change; the then-current version on the Shipping Information page
governs.

6.2 Delivery Estimates

Estimated delivery dates are provided for informational purposes only
and are not guaranteed. We are not liable for delays caused by
carriers, weather, customs, or other circumstances outside our
reasonable control.

6.3 Risk of Loss; Title

Title to and risk of loss of products purchased from Our Tool Crib
pass to you upon our delivery of the product(s) to the carrier or
shipping agent at our facility or fulfillment location. Once the
carrier accepts the shipment, the product is your responsibility. We
strongly recommend purchasing shipping insurance for high-value
orders.

and we will work with you and the carrier to resolve the issue in
accordance with our then-current policies and applicable law.

7. Returns and Refunds

Our return and refund policy is set forth in detail on our
Returns & Refund Policy page, which is
incorporated herein by reference. Generally, most unused products in
their original packaging may be returned within thirty (30) days of
delivery for a refund or exchange, subject to the terms, exclusions,
and procedures described on that page. We reserve the right to
modify our return and refund policy; the then-current version on the
Returns & Refund Policy page governs.

8. Product Warranties; Disclaimers

8.1 Manufacturer Warranties

Many products sold on the Site are covered by the original
manufacturer’s warranty. Information about applicable manufacturer
warranties, where available, is set forth on the product listing
page and on our Warranty Information page,
which is incorporated herein by reference. Manufacturer warranties
are provided directly by the manufacturer, not by Our Tool Crib, and
are subject to the manufacturer’s terms and conditions.

8.2 Disclaimer of Implied Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR
TOOL CRIB EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF
DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT PRODUCTS
WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT THEY WILL BE
FREE FROM DEFECTS BEYOND WHAT IS EXPRESSLY COVERED BY AN
APPLICABLE MANUFACTURER WARRANTY.

Some jurisdictions do not allow the disclaimer or limitation of
certain implied warranties. In such jurisdictions, our liability
shall be limited to the maximum extent permitted by applicable law.
Nothing in these Terms is intended to limit any rights you may have
under applicable consumer protection laws that cannot be waived by
contract.

8.3 Disclaimer of Site Content Warranties

THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, AND
SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS
AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND. WE DO NOT WARRANT
THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM
VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability; Indemnification

9.1 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO
EVENT SHALL Our Tool Crib, ITS OFFICERS, DIRECTORS,
EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR
EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS,
LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF
SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO
THESE TERMS, YOUR USE OF OR INABILITY TO USE THE SITE, OR ANY
PRODUCTS PURCHASED THROUGH THE SITE, EVEN IF WE HAVE BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR
TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF
OR RELATING TO THESE TERMS OR YOUR PURCHASE OF PRODUCTS SHALL
NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU
FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM IN THE
SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S.
DOLLARS ($100.00).

Some jurisdictions do not allow limitations on liability for certain
types of damages. In those jurisdictions, our liability shall be
limited to the maximum extent permitted by applicable law.

9.2 Indemnification

You agree to defend, indemnify, and hold harmless Our Tool Crib, its officers, directors, employees, agents, suppliers, and
licensors from and against any and all claims, liabilities, damages,
losses, costs, and expenses (including reasonable attorneys’ fees)
arising out of or relating to:

  • Your use of the Site or any products purchased through the Site;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or the rights of
    any third party; or
  • Any content you submit, post, or transmit through the Site.

We reserve the right to assume exclusive control over the defense of
any matter subject to indemnification by you, at your expense. You
agree to cooperate fully with us in the defense of any such claim.

10. Intellectual Property

10.1 Our Tool Crib Intellectual Property

The Site and all of its content, features, and functionality,
including but not limited to text, graphics, logos, icons, images,
audio and video clips, digital downloads, data compilations, and
software, are owned by Our Tool Crib or its licensors and
are protected by United States and international copyright, trademark,
trade dress, patent, and other intellectual property laws. The name
“Our Tool Crib,” the OurToolCrib.com domain, and all associated logos,
marks, and trade dress are proprietary to Our Tool Crib.

10.2 Third-Party Brand Marks

Product names, logos, brand marks, trademarks, and service marks of
third-party manufacturers and brands displayed on the Site are the
property of their respective owners. The display of such marks on
the Site does not imply any affiliation with, endorsement by, or
sponsorship of Our Tool Crib by those brand owners, except as
expressly indicated. Unauthorized use of any third-party marks is
prohibited.

10.3 Limited License to Use the Site

We grant you a limited, non-exclusive, non-transferable,
non-sublicensable, revocable license to access and use the Site
solely for your personal and internal business purposes of browsing
products and making purchases in accordance with these Terms. This
license does not include the right to:

  • Copy, reproduce, distribute, publicly display, or create derivative
    works of any Site content;
  • Use data mining, robots, scraping, or similar automated data
    collection or extraction tools on the Site;
  • Resell or make commercial use of the Site or its content;
  • Remove or alter any copyright, trademark, or other proprietary
    notices.

Any unauthorized use of the Site or its content terminates this
license automatically.

11. Prohibited Uses; Acceptable Use

In addition to the restrictions set forth elsewhere in these Terms,
you agree that you will not use the Site to:

  • Violate any applicable federal, state, local, or international law
    or regulation;
  • Engage in fraudulent, deceptive, or misleading activity, including
    the submission of false or inaccurate order information or payment
    credentials;
  • Transmit any unsolicited or unauthorized advertising, promotional
    materials, spam, chain letters, or similar communications;
  • Introduce viruses, Trojan horses, worms, logic bombs, or other
    technologically harmful material;
  • Attempt to gain unauthorized access to any portion of the Site,
    its servers, or any system or network connected to the Site;
  • Engage in any action that imposes an unreasonable or
    disproportionate load on the Site’s infrastructure;
  • Use the Site for any unlawful purpose, or in connection with any
    activity that violates the rights of any third party;
  • Purchase products for the purpose of unauthorized resale or
    commercial arbitrage in excess of quantity limits;
  • Circumvent, disable, or interfere with security-related features
    of the Site.

Violation of these provisions may result in immediate account
termination, cancellation of pending orders, and referral to
appropriate law enforcement or regulatory authorities.

12. Governing Law; Dispute Resolution; Venue

12.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms,
the Site, or any products purchased through the Site shall be
governed by and construed in accordance with the laws of the State of
Minnesota, without
regard to its conflict-of-law provisions.

12.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to
these Terms, the Site, or any product purchased through the Site
shall be subject to the exclusive jurisdiction of the state and
federal courts located in Anoka County,
Minnesota. You hereby irrevocably
consent to personal jurisdiction and venue in such courts and waive
any objection to such jurisdiction or venue on grounds of
inconvenient forum or otherwise.

13. Changes to Terms; Miscellaneous Provisions

13.1 Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will
be effective upon posting of the revised Terms to the Site with an
updated effective date. We will make reasonable efforts to notify
registered account holders of material changes via email or a
prominent notice on the Site. Your continued use of the Site or
placement of an order after the effective date of any change
constitutes your acceptance of the revised Terms. If you do not
agree to the revised Terms, you must discontinue use of the Site.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, such provision
shall be modified to the minimum extent necessary to make it
enforceable, and the remaining provisions of these Terms shall
continue in full force and effect.

13.3 Entire Agreement

These Terms, together with our Privacy
Policy, Shipping Information,
Returns & Refund Policy, and
Warranty Information pages, constitute the
entire agreement between you and Our Tool Crib with respect
to your use of the Site and purchase of products, and supersede all
prior or contemporaneous communications, representations, or
agreements, whether oral or written, on those subjects.

13.4 No Waiver

Our failure to enforce any provision of these Terms on any occasion
shall not constitute a waiver of our right to enforce that provision
on any other occasion or to enforce any other provision. No waiver
shall be effective unless made in writing signed by an authorized
representative of Our Tool Crib.

13.5 Assignment

You may not assign or transfer your rights or obligations under these
Terms without our prior written consent. We may assign our rights and
obligations under these Terms without restriction, including in
connection with a merger, acquisition, or sale of assets.

13.6 Force Majeure

We shall not be liable for any failure or delay in performance of our
obligations under these Terms caused by circumstances beyond our
reasonable control, including but not limited to acts of God, fire,
flood, epidemic or pandemic, war, terrorism, labor disputes, supply
chain disruptions, government actions, or failures of third-party
service providers (including carriers and payment processors).
